Practitioner Terms & Conditions

These Practitioner Terms & Conditions ("Terms") govern your access to and use of the AURA Fem Health platform, services, and tools provided by AURA Fem Health Pte. Ltd. ("AURA", "we", "us"). By clicking "I agree," creating an account, or using the platform, you agree to be bound by these Terms.
Currency. Unless stated otherwise in writing, all fees and payments are in United States Dollars (USD).
1. Definitions
Platform: AURA's web/app properties, practitioner SaaS, and related services.
Practitioner / "you": An independent clinician/coach accepted by AURA to deliver services.
Client: An end user receiving services via AURA.
Programs: Self-paced, coach-supported, or group coaching offerings hosted on AURA.
Bundle: The 1:1 care package comprising 3 sessions with between-session support.
2. Acceptance, Eligibility & Relationship
By using the Platform, you represent that you are legally able to enter contracts, hold any required licenses/registrations, and will practice within your scope.
You are an independent contractor, not an employee, agent, or partner of AURA. Nothing herein creates employment, agency, or joint venture.
3. Purpose & Scope of Services
You may deliver, through AURA:
- 1:1 services (e.g., the 3-session Bundle, discovery calls, retainers).
- Programs & classes (self-paced, coach-supported, group/cohort).
- Use of AURA practitioner tools: scheduling, reminders, profile, program hosting, habit & symptom tracking, secure messaging, plan templates, analytics.
4. Ownership & Intellectual Property
Your Content is Yours.
All content you create (written guidance, videos, course materials, classes) remains your exclusive intellectual property.
AURA will not reproduce, license, or use your practitioner-created content outside the Platform without your prior written consent.
Upon termination, AURA will remove your content from the Platform within 30 days and return or securely delete your practitioner client data in that period. You must delete AURA-related client data stored locally within 30 days.
Access to Self-Led Programs
You define the access term (e.g., lifetime, fixed-term). State access terms clearly in the program description.
Clients retain access for the specified term once purchased. AURA is not responsible for extending access beyond your stated terms.
Non-Exclusivity & Confidentiality
Participation is non-exclusive; you may work elsewhere, run your own programs, etc.
AURA is open to signing confidentiality agreements upon request.
5. Platform Use & Onboarding
AURA provides a 30-minute onboarding and ongoing support.
Keep all formal client interactions (messages, notes, files, plans) on AURA to maintain privacy and PDPA/GDPR/HIPAA-aligned security.
Consultations occur via your own Zoom (link shared in AURA).
You agree not to solicit or knowingly transfer AURA clients off-platform to bypass AURA fees during your engagement and for 6 months post-termination. Client-initiated contact via your public channels after the cooling-off period does not breach these Terms.
Client Consent
Obtain explicit consent before viewing/editing personal health data or progress notes. Use the consent button in the Portal or capture consent in a message/call.
Pre-Existing Clients
Clients you served before AURA are excluded from AURA fees/policies unless they independently join an AURA program.
Exceptions & Logging
Delays due to platform downtime, travel/connectivity, or force majeure are excused. If you use alternate channels, log a summary in AURA within 48 hours.
6. Calendar, Communication & Responsiveness
- Make availability visible on AURA (e.g., Calendly).
- Acknowledge/respond to client messages within 72 business hours, excluding holidays or pre-communicated unavailability.
- Flag overload, fit concerns, or risk promptly to AURA.
- Discovery calls are recommended prior to commencing a coaching relationship.
7. Client Load & Service Commitment
1:1 Care (Bundle)
Compensation: USD $210 per 3-session Bundle (i.e., $70 per session) paid by AURA to you; no margin retained by AURA on Bundles. Standard payment processing fees (approx. 2–4%) apply.
Recommended rhythm: ≥1 call every 6 weeks with weekly nudges/messages (AI-assisted).
Approach to Sessions
- Review client assessment inputs and AI summaries before sessions.
- Use a whole-person, root-cause approach; teach clients to understand their wellbeing.
- Consider financial means before cost-based recommendations; mark optionality in notes.
- Integrate recommendations into habit & symptom tracking in the app.
Call Flow (guide)
- 30–45 min live call via your Zoom (link shared in AURA).
- Review & edit plan; set goals/KPIs; schedule next call.
- Between sessions: monitor via dashboard and respond to messages (≈5 min/week).
8. Programs & Courses
You may list programs in three formats:
- Self-Paced (typically < USD $100): content only; optional community moderation; no live calls.
- Coach-Supported (USD $100–$250): content + weekly live group sessions + moderation; AI nudges supported.
- Group Coaching (Premium): limited cohort (e.g., 6–8), high-touch coaching; may be canceled if minimum enrollment unmet; refunds within 14 days.
AURA retains a 10% margin per program transaction (subject to cap and change with 30–60 days' notice). You may discontinue if you do not accept revised margin terms.
9. Marketing & Co-Promotion
- You provide ready-to-post content; AURA can assist design/editing at USD $20/hour (optional).
- You agree to co-promote via your channels (e.g., 1 share/month).
AURA will:
- Report user growth by 3-month mark,
- Provide minimum homepage promotion, algorithmic promotion to relevant users, and 3 social posts per program, and
- Display offerings fairly (no unfair deprioritization).
10. Fees, Compensation & Payouts
a) Platform Subscription (Practitioner → AURA)
- Free for first 3 months or until 3 clients sign up (whichever earlier).
- Thereafter: USD $349 / 6 months or USD $597 / 12 months.
- Covers practitioner tools, AI support, nudging features, hosting, and marketing spend.
- If the platform is unavailable >5 consecutive days or >7 aggregate days in a month, you may request a pro-rated credit/refund.
b) 1:1 Session Bundle (AURA → Practitioner)
- USD $210 per Bundle (3 sessions; $70/session).
- No AURA margin on Bundles; standard transaction fees apply.
- Payouts typically within 3–5 business days per session delivered.
- Rate reviewed every 4 months with 30 days' notice.
c) Classes & Courses (Client → Practitioner)
- Pricing per the formats above; premium group price set by Practitioner (confirmed with AURA).
- AURA retains 10% margin per transaction (see Section 8).
d) Statements & Timing
- Payouts within 3–5 business days of receipt; monthly itemized statements provided.
- You are responsible for your own taxes.
11. Refunds, Rescheduling & Cancellations
- Practitioner reschedule: ≥ 24 hours' notice; otherwise a USD $50 fee may apply.
- Client reschedule: ≥ 24 hours' notice; otherwise the session may be forfeited.
- Emergencies are exceptions.
- After 3 missed sessions without reason, AURA may suspend your account.
Refunds
- 1:1 sessions: No refunds once delivered. Pre-paid, undelivered sessions may be refunded or rescheduled.
- Programs: No refunds once full content is accessed. Partial refunds may be considered if content not substantially used.
AURA reviews refund requests seeking fairness to both Practitioner and Client.
12. Data Protection & Privacy
- You must comply with PDPA, GDPR, HIPAA (where applicable) and AURA's Privacy Policy.
- Client data must not be downloaded, exported, or used outside AURA, except with explicit written client consent and in compliance with law.
- Use client data solely to provide services via AURA.
- Report any suspected/actual data breach within 24 hours.
- Material violations may result in immediate suspension/termination.
13. Safety, Disclaimers & Professional Responsibility
- You practice within your scope/licensure and maintain required licenses/insurance.
- Holistic/wellness practitioners maintain appropriate liability insurance and avoid diagnosis/prescribing if outside scope.
- AURA is not liable for outcomes of your services; you are not liable for issues caused solely by AURA's platform or marketing.
14. Force Majeure
Neither party is liable for delays/failures due to events beyond reasonable control (e.g., natural disasters, outages, war). If such events continue >30 days, either party may terminate without penalty.
15. Financial Judgment & Client Means
- Use judgment in cost-based recommendations; mark optional items clearly.
- Document affordability considerations succinctly in notes/messages.
16. Term, Changes & Termination
- Term is 12 months from acceptance unless terminated earlier.
- Either party may terminate with 15 days' written notice.
- On termination: client access ceases; payouts/refunds are reconciled; content & data handled per Section 4.
- AURA may update policies with 15 days' notice. Continued use after updates = acceptance.
17. Non-Disparagement & Brand Use
- Both parties will act in good faith and avoid public disparagement.
- Use of AURA marks requires prior written consent; you retain your own brand.
18. Limitation of Liability
To the maximum extent permitted by law, AURA's total liability for claims arising out of these Terms or your use of the Platform is limited to the greater of USD $200 or the amounts paid by AURA to you in the 3 months preceding the claim. No indirect, incidental, special, consequential damages.
19. Governing Law & Venue
These Terms are governed by the laws of Singapore. Courts of Singapore have exclusive jurisdiction over disputes, subject to any mandatory arbitration/mediation procedures required by law.

21. Entire Agreement
These Terms, together with any referenced policies (e.g., Privacy Policy, Acceptable Use, Program Guidelines), constitute the entire agreement between you and AURA and supersede prior proposals or understandings relating to the Platform.
Practitioner Acceptance (Click-Wrap)
By checking the box and clicking "I agree", you confirm:
- You have read and understood these Terms;
- You will comply with applicable law and scope of practice; and
- You consent to AURA processing your information per the Privacy Policy.
Annex A — Operational Summaries (Non-binding Aids)
- Service Flow (1:1): Review inputs → consent → 30–45 min Zoom → plan updates & KPIs → schedule next → weekly nudges → dashboard monitoring.
- Communications SLA: Aim to respond within 72 business hours; communicate planned unavailability.
- Matchmaking: AURA may surface clients via events, SEO, and recommendations; you retain brand and client relationship.
- Selection: Practitioner onboarding is curated to protect quality and outcomes.
